1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement governing your use of H2IO infrastructure compliance monitoring services ("Services") provided by triageIO, registered in the European Union ("Provider"). By accessing or using our Services, you agree to be bound by these Terms, all applicable laws and regulations of the European Union and its member states, and acknowledge that you have read and understood our Privacy Policy and Data Processing Agreement.

2. Service Description

H2IO provides infrastructure compliance monitoring, asset inventory management, and audit trail generation services designed to support regulatory compliance requirements including NIS2, DORA, and GDPR. The specific scope of services is defined in your enterprise license agreement.

3. License Grant

Subject to these Terms and payment of applicable fees, Provider grants you a non-exclusive, non-transferable license to use the Services for your internal business purposes during the subscription term. This license does not include the right to sublicense, modify, or create derivative works.

Processing of data through the Services may be governed by a Data Processing Agreement where applicable. The Provider generally acts as a data processor on behalf of the customer (data controller) in accordance with documented instructions. All personnel are exclusively EU member state citizens.

7. Service Level

Service availability commitments and support terms are specified in your enterprise license agreement. The Provider will use commercially reasonable efforts to maintain service availability and provide timely support.

8. Intellectual Property

The Services, including software, documentation, and related materials, are the intellectual property of H2IO. Nothing in these Terms transfers ownership of intellectual property rights. Customer retains rights to its own data processed through the Services.

9. Limitation of Liability

To the maximum extent permitted by law, Provider's liability for any claims arising from these Terms or use of the Services is limited to the fees paid by you in the twelve months preceding the claim. Provider is not liable for indirect, incidental, or consequential damages.

10. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach with 30 days written notice. Upon termination, your access to the Services will cease and you must discontinue use of all Provider materials.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the European Union and, to the extent applicable, the national laws of the EU member state in which the customer is established. For customers established outside the EU, Irish law shall apply. The parties submit to the exclusive jurisdiction of the competent courts of the customer's EU member state of establishment, or the courts of Ireland for non-EU customers. Nothing in this clause shall limit the Provider's right to bring proceedings in any other court of competent jurisdiction.

12. Modifications

Provider may update these Terms from time to time. Material changes will be communicated to customers with at least 30 days notice. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
